Terms of service

Effective August 12, 2026

NorthThread is operated by Cognito Labs LLC, a Nevada limited liability company ("we", "us"). These terms are the agreement between Cognito Labs LLC and the business on whose behalf an account is created ("you"). By creating an account or using NorthThread you agree to them. NorthThread is built for businesses; it is not offered to consumers.

Your account

You need accurate information and a working email address to run an account. Every user signs in with their own credentials and two-factor authentication; accounts are joined by invitation only. You are responsible for the people you invite and for what they do in your account. Tell us right away at ops@norththread.io if you believe an account has been compromised.

Trials

New accounts get 30 days free, no card required, enough to run one full monthly reporting cycle. When the trial ends the account becomes read-only: nothing is deleted, and subscribing restores full access immediately.

Plans, payment, and renewal

Paid plans are billed monthly in US dollars through Stripe and renew automatically until cancelled. Prices and plan limits are listed on the pricing page. You can upgrade, downgrade, or cancel self-serve from your billing settings; changes are prorated by Stripe's standard rules. If a payment fails we will retry and email you before restricting the account. We will give you at least 30 days' notice by email before any price increase takes effect for you. You are responsible for any applicable taxes.

Cancellation

You can cancel any time from billing settings; paid access runs to the end of the period already paid for, and we do not issue partial-month refunds. After cancellation your account returns to read-only so you can still export your data. If you want the account and its data deleted, ask us at ops@norththread.io and we will follow the offboarding schedule in the Data Processing Agreement.

Your data stays yours

Everything you upload or generate in NorthThread, bordereaux, carrier statements, mappings, reports, belongs to you. We take no ownership and we do not sell data. You grant us only the limited license needed to host, process, back up, and display that data to operate the service. Where your files contain personal data of policyholders, you are the controller and we process it only on your instructions under the Data Processing Agreement. You are responsible for having the right to upload the data you upload.

Confidentiality

We treat your business data as confidential and access it only to operate the service, to support you when you ask, or when the law requires it. Audit logs record sensitive actions, including any access by our operators.

Acceptable use

Use NorthThread lawfully and for its purpose. Do not attempt to break, probe, or overload the service or its security, access another tenant's data, resell access, or upload material you have no right to process. We may suspend an account that puts the service or other customers at risk, and we will tell you if we do.

Availability and support

We work to keep NorthThread fast and available and we design for durability: encrypted storage, automated backups, immutable audit trails. We do not yet offer a contractual uptime guarantee. Support is by email at ops@norththread.io and we aim to respond within one business day.

Changes to the service

We improve NorthThread continuously and may add, change, or retire features. If we retire something material to how you work, we will give you reasonable notice by email first.

Our software

The NorthThread software, design, and brand belong to Cognito Labs LLC. Your subscription is a right to use the service, not a license to the software itself. If you send us feedback or suggestions, we may use them without obligation.

Disclaimer

NorthThread is provided "as is" and "as available". We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. NorthThread is an operations tool: it does not provide legal, regulatory, actuarial, or accounting advice, and you remain responsible for your own regulatory reporting obligations and for reviewing what you submit to your capacity providers.

Limits on liability

To the fullest extent the law allows, neither party is liable to the other for indirect, incidental, special, or consequential damages, or for lost profits or lost business, however arising. Our total liability for all claims arising out of the service is capped at the amount you paid us in the 12 months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited by law.

Indemnity

You will defend and indemnify us against third-party claims arising from data you upload without the right to do so or from your unlawful use of the service. We will defend and indemnify you against third-party claims that the NorthThread software itself infringes their intellectual property.

Termination for breach

Either party may end this agreement if the other materially breaches it and does not fix the breach within 30 days of written notice. If we terminate for your breach, or you fail to pay after reminders, we may suspend access; your data remains exportable for 30 days after termination before offboarding begins.

Changes to these terms

If we change these terms in a way that matters, we will email account owners at least 14 days before the change takes effect. Continuing to use the service after that date means you accept the updated terms. The current version always lives at this page.

Governing law

These terms are governed by the laws of the State of Nevada, without regard to its conflict of laws rules, and disputes belong to the state and federal courts located in Nevada. If any part of these terms is found unenforceable, the rest still applies.
